XXIV has an extensive company law practice ranging from mergers and acquisitions, through warranty and misrepresentation claims to corporate governance issues such as director and shareholder disputes. Members are well known for their ability to deal with issues arising from the international or cross border elements of transactions as well as offshore structuring issues.
Eight members of XXIV Old Buildings have recently produced Blackstone's Guide to the Companies Act 2006. The book (which includes a copy of the Act and a table of destinations) provides a concise and accessible topic by topic commentary on the new legislation. In particular, it identifies and explains the key changes introduced by the Act. Certain parts of the Act (dealing with communications with shareholders and takeovers) are now in force. Other major areas (including directors' duties, derivative claims, resolutions and meetings) will come into force as from 1st October 2007. The remainder of the Act will be brought into force in 2 tranches in April and October 2007. Full details of the implementation programme can be found here.
